ADMINISTRATIVE PROCEEDINGS

 

The firm has represented individuals and businesses in various administrative proceedings, including zoning disputes, professional licensing issues, and responding to complaints to state administrative agencies.

ADVISING BUSINESS

 

The firms represents individuals and business entities in numerous facets of business activity including, but not limited to, assisting in the negotiation and consummation of acquisition or divestiture of business interest; assisting in commercial loan transactions; and, organizing, maintaining, modifying and dissolving business entities such as corporations, limited liability companies, and limited liability partnerships.

BUSINESS ACQUISITION AND SALES

 

The firm represents individuals and businesses in negotiating and completing business transactions, including representation of buyers and sellers of, for example, restaurants, media companies, car dealerships.

CIVIL LITIGATION

 

The firm regularly represents individuals and businesses in litigation, whether on the defense or plaintiff’s side.  Much of the firm’s defense work involves personal injury, property damage, and products liability claims, but has in recent years included claims under Vermont’s Consumer Fraud Act, ERISA, insurance bad faith, professional malpractice, defective workmanship, and other commercial and personal disputes.

CONSTRUCTION PERMITS, LAW, AND LITIGATION

 

The firm has for many years represented contractors and subcontractors in claims made against them alleging defective workmanship, property damage, and breach of warranty.  The firm has also represented contractors and subcontractors in making claims under Vermont’s Prompt Pay Act.

CORPORATE FINANCE

 

The firm represents business and individuals in matters relating to corporate finance.  Recently, the firm represented Backcountry.com in a series of line of credit transactions with values in excess of $30,000,000.

The firm is experienced in all aspects of commercial law, including but not limited to the formation and dissolution of corporations, LLCs, and partnerships.

ENVIRONMENTAL CLAIMS

 

For decades, the firm has represented individuals, businesses, and insurers related to claims made against them by the state or other parties relating to alleged environmental contamination and demands for clean-up costs.

ESTATE PLANNING

 

We frequently assist individuals in developing and implementing a comprehensive estate plan addressing concerns ranging from minimizing estate/inheritance taxes; preserving assets, avoiding a probate administration, contemplating the risk of future incompetency and a client’s plan of distribution. Such work may entail the preparation of a will, a durable general power of attorney, one or more trust instruments and the re-titling of the client’s assets.

INSURANCE COVERAGE

 

The firm represents individuals and businesses in claims involving, for example, employment discrimination, unfair hiring practices, wrongful termination, and sexual harassment.  The firm is also experienced in reviewing and drafting complex employment contracts on behalf of both employees and employers, particularly in the area of non-competition and non-solicitation clauses.

PERSONAL INJURY

 

The firm has made substantial recoveries on behalf of injured parties, often resolving the claims prior to litigation.  In recent years, these cases have included injuries and wrongful death suffered by a family in a car accident; a bicyclist struck by a car at an intersection; a workers comp claim involving serious neurological injuries; a driver struck head-on by an intoxicated driver; and slip and fall injuries sustained on government property at a VA hospital.

PROBATE ADMINISTRATION

 

The firm has extensive experience in representing clients in all aspects of the administration of a decedent’s probate estate. Our services in this realm include guiding executors or administrators through the probate process and also representing family members, beneficiaries of the estate, or creditors of the decedent.

PROFESSIONAL MALPRACTICE

 

The firm has a great deal of experience defending professional malpractice claims, particularly in the area of legal malpractice.  Their clients in these sensitive cases are consistently pleased with the quality and results of their legal representation.  Reported cases, in which the dismissal of claims against attorneys was upheld on appeal, include Clayton v. Unsworth, 2010 VT 84, 188 Vt. 432, 8 A.3d 1066,Roberts v. Chilimeski, 175 Vt. 480 (2003), Washington Electric Cooperative, Inc. v. Massachusetts Municipal Wholesale Electric Co., 894 F. Supp. 777 (D. Vt. 1995), and Knott v. Pratt, 158 Vt. 334 (1992).  The firm also has frequently represented insurance agents and agencies; recent cases include Poirier v. Farmers Insurance Group et al., 2010 Vt. Super. LEXIS 76 (Orleans County Superior Court), andChandler v. Suntag et al., 2011 U.S. Dist. LEXIS 70812 (D. Vt. 2011).  The firm has also defended doctors, health care professionals, realtors, and financial advisors.

REAL ESTATE

 

Our real estate attorneys have over sixty years of combined experience representing individuals, businesses, developers and common interest communities in residential, commercial and investment transactions including, but not limited to: drafting and review of contracts, leases, easements, declarations, deeds, mortgage loan documentation and requisite tax returns; completion of title searches, governmental permit due diligence, rendering title reports/opinions, assessing and resolving title issues; obtaining required permits, working with surveyors and drafting and review of legal documents for boundary line adjustments; and handing all aspects of closing real estate transactions.

WORKERS COMPENSATION

 

The firm regularly represents employers in every aspect of workers compensation claims, including handling the claim, filing forms with the department, evaluating issues relating to potential fraud and misrepresentation of the injury, hearing before the Department of Labor, and Vermont Supreme Court appeals.  Recent examples of the firm’s work include Heller v. Bast & Rood Architects, 2011 Vt. Unpub. LEXIS 113, 24 A.3d 594 (unpublished).  The firm also handles a select number of workers compensation claims on behalf of injured employees, and a select number of subrogation cases.
